These Terms of Service ("Terms") govern your access to and use of the Kudosly platform, including our website at kudosly.co.uk and any related software, services, or applications (collectively, the "Service"), operated by Kudosly Ltd ("we", "us", or "our").
By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
Kudosly is a business-to-business (B2B) platform. To subscribe as a venue operator or enterprise, you must:
If you are a team member invited to use Kudosly by your employer, your access is granted by your employer (the venue operator). Your employer is responsible for ensuring your use complies with these Terms and with applicable employment law.
You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with anyone else. You are responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that we believe have been compromised, used fraudulently, or used in violation of these Terms.
Venue operators are responsible for the accounts of all team members they invite. If a team member leaves your organisation, you must deactivate their account promptly via the Team management section of Kudosly.
You may use Kudosly only for lawful purposes and in accordance with these Terms. You agree not to:
You retain ownership of all data you upload to or create within Kudosly ("Your Data"). By uploading data to the Service, you grant us a limited, non-exclusive licence to store, process, and display Your Data solely to provide the Service to you.
We do not sell Your Data. We do not use Your Data to train AI models without your explicit consent. Our use of Your Data is governed by our Privacy Policy.
As a venue operator, you act as the data controller for the personal data of your employees that you input into Kudosly. We act as a data processor on your behalf. You are responsible for having an appropriate lawful basis to process this data and for informing your employees accordingly.
If you paste customer reviews or other third-party content into Kudosly, you are responsible for ensuring you have the right to do so. We are not responsible for third-party content you upload to the Service.
Kudosly includes AI-powered features, including the AI Coaching summary. These features are powered by third-party AI providers (currently Anthropic). When you use AI features:
Access to the full Kudosly platform requires a paid subscription. Subscription details, pricing, and billing cycles are as set out at the time of purchase.
If payment fails, we may suspend access to the Service until outstanding amounts are settled. We will notify you before suspension where possible.
You may cancel your subscription at any time via your account settings or by contacting us at hello@kudosly.co.uk. Cancellation takes effect at the end of the current billing period. You will retain access until then.
We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will generally give notice before doing so unless the breach is serious or immediate action is required to protect other users or the platform.
On termination, your access to the Service will end. Your data will be retained for 90 days after cancellation, during which time you may request an export. After 90 days, your data will be permanently deleted in accordance with our Privacy Policy.
The Kudosly name, logo, brand, and all software, features, and content we create are owned by or licensed to Kudosly Ltd and are protected by UK and international intellectual property law. You may not reproduce, distribute, or create derivative works from our materials without our express written permission.
The name "Kudosly" has been verified as clear in UKIPO trade mark classes 9, 32, 33, 35, 42, and 43.
We aim to keep Kudosly available 24/7 but do not guarantee uninterrupted access. We may carry out maintenance, updates, or experience outages outside our control (e.g. Supabase or Vercel infrastructure issues). We will communicate planned downtime where possible.
Kudosly provides performance tracking and coaching tools. Nothing in the Service constitutes legal, HR, financial, or employment advice. You should take your own professional advice before making decisions about your team based on data in Kudosly.
To the maximum extent permitted by law, Kudosly Ltd's total liability to you in connection with the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, or special losses, including loss of profits, loss of data, or loss of business.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage you to contact us first to resolve any issues informally before pursuing formal legal action.
